PURCHASE AGREEMENT

Article 1: Subject of the Agreement
This agreement regulates the terms and conditions for the purchase of products manufactured and/or supplied by the Seller and ordered by the Buyer.

Article 2: Order and Delivery
2.1. The Buyer will place an order with the Seller in writing (via email, fax, etc.).
2.2. The Seller will confirm the order within [order confirmation time] business days after receiving the order.
2.3. The delivery time is [delivery time] business days from the date the order is confirmed by the Seller.
2.4. Delivery will be made using the transportation method chosen by the Seller.

Article 3: Products and Prices
3.1. The products will be provided according to the specifications and prices listed in the Seller's product catalog.
3.2. The price of the products will be determined by the prices valid on the date the order is received. Prices are listed excluding VAT and VAT will be added separately on the invoice to the Buyer.

Article 4: Payment Terms
4.1. Payment must be made within [payment term] days after the order is confirmed by the Buyer.
4.2. Payment will be made to the bank account specified by the Seller.
4.3. Payment terms can be modified by mutual agreement between the Buyer and Seller.

Article 5: Warranty and Returns
5.1. The Seller guarantees that the products will be of high quality and in accordance with the specifications outlined in the order.
5.2. The Buyer shall inspect the products within 1 days from the date of delivery and notify the Seller of any defects or discrepancies.
5.3. Returns or exchanges will only be accepted if the product is unused and in its original packaging.

Article 6: Termination of the Agreement
6.1. Either party may terminate this agreement by giving written notice to the other party.
6.2. In case of termination, all amounts owed by the Buyer must be paid immediately.

Article 7: Legal Jurisdiction and Disputes
7.1. This agreement is governed by the Turkish Commercial Code and relevant legislation.
7.2. Any disputes arising from this agreement shall be subject to the jurisdiction of the courts and execution offices of the Seller’s place of residence.

Article 8: Miscellaneous Provisions
8.1. No amendments to this agreement shall be made without the written consent of both parties.
8.2. The Buyer has read and accepted all the terms of this agreement.
